There are certain Pre-condition to the case. Service provider is First Party and Client is Second Party:-
1) TDS shall be deducted 2% under Income Tax Rule 194C.
2) Consultancy/Service/Quoted fees shall be paid in Cheque / NEFT / RTGS / Demand Draft.
3) Buyer shall provide required related information to first party as and when required.
4) Concealing/Misrepresentation of facts and figures shall be on the onus of the Buyer.
5) Timely availability of management for various critical discussions, if required.
6) Seller role will be limited to acting as an arranger for Buyer. However, Seller shall make its best efforts towards completing the transaction(s).
7) It is explicitly understood that these service terms shall not be construed as underwriting/guarantee/promise in any form on the part of First party.
8) Either party shall maintain confidentiality of the information provided & will not disclose the same without mutual consent unless it is required to do so under the law.
9) The Consultancy/Service/Quoted fees shall be charged on advance basis.
10) The Consultancy/Service/Quoted charged is non-refundable in any circumstances and no guarantee/promise for refund government fee/failed transitions in online payment/extra paid amount as government fee etc..
11) The service contract/claim is subject to the jurisdiction of Delhi.
